Terms of Service

These terms are the agreement between you and Valixp LLC (“VALIXP,” “we,” “us”) covering valixp.com, our app, and the work we coordinate. They apply to homeowners and property owners who book work (“customers”) and to the independent licensed contractors who perform it (“contractors”). Some sections apply to only one group and say so. By creating an account, booking a job, or accepting an assignment, you agree to these terms. If you don’t agree, don’t use the service.

1. What VALIXP is — and isn’t

VALIXP is a Hawaii contractor network. We take your request, price the scope, and assign a licensed, vetted contractor from our network. We handle intake, scheduling, communication, the work order, and payment.

Contractors are independent businesses. They are not employees, partners, agents, or joint venturers of VALIXP. Each contractor controls how the work is performed, supplies their own tools and crew, carries their own license and insurance, and is responsible for the quality and safety of their own work. VALIXP coordinates the job; the contractor performs it.

2. Accounts and eligibility

You must be at least 18 and able to enter a binding contract. Give us accurate information and keep it current — the phone number and email on your account are how we reach you about your job.

New accounts are confirmed with a 6-digit code sent by text or email. Keep your password private. You’re responsible for everything done through your account. Tell us right away at info@valixp.com if you think someone else has access.

One account per person or business. We may suspend or close accounts used for fraud, abuse, or repeated no-shows.

3. Requests, quotes and confirmation (customers)

Prices shown when you book are estimates based on the details you provide. The final scope and price are confirmed by our office after we review the request, and may change if conditions on site differ from what you described — for example hidden damage, access problems, or additional square footage.

A job is not scheduled until two things happen: the deposit is paid and you confirm the job in your account. Until then, no contractor is assigned and no date is held.

Some work may need permits or inspections. Unless we tell you in writing that we are pulling the permit, obtaining permits and any HOA or landlord approval is your responsibility.

4. Payments, deposits and the card on file (customers)

Payments are processed by Stripe. VALIXP never sees or stores your full card number. By booking, you authorize us to charge the deposit shown at checkout and to keep that card on file for the same job.

When the contractor finishes and the work order is finalized, you authorize us to charge the card on file for the approved final amount, less the deposit already paid. Where a ceiling amount is set on your job, we will not charge above it without your written approval.

Extra work outside the agreed scope requires an approved change order before it is performed and before it is billed. Approving a change order in the app is the same as approving it in writing.

Cancellations: cancel more than 48 hours before the scheduled start and the deposit is refunded less any materials already ordered or non-refundable processing fees. Cancel inside 48 hours, or miss a scheduled visit without notice, and the deposit may be retained to cover the contractor’s reserved time. Materials ordered specifically for your job are not refundable once purchased.

Disputes and chargebacks: contact us first at info@valixp.com. Filing a chargeback on work that was performed, instead of raising the issue with us, may result in collection costs and account closure. Refunds we approve are returned to the original payment method.

5. What we need from customers

  • Describe the work honestly, including known hazards, prior damage, or unpermitted work.
  • Provide safe access to the site at the scheduled time, including parking, power and water.
  • Secure pets and move valuables and fragile items out of the work area.
  • Disclose known asbestos, lead paint, mold, or structural issues. Contractors may stop work and re-price if hazardous conditions are discovered.
  • Don’t ask a contractor to skip a permit, inspection, or safety requirement.
  • Pay for approved work on time.

6. Contractor terms

Independent status. You operate your own business. You set your own hours, decline jobs freely, and are responsible for your own taxes, workers, equipment, and compliance. Nothing here creates employment.

Licensing and tax registration. You must hold and maintain a current Hawaii contractor license appropriate to the work you accept, a Hawaii GE Tax license number (GET ID), and current general liability insurance — plus workers’ compensation coverage if you have employees. You must give us accurate copies and tell us within 5 days if any of these lapse, expire, or are suspended. Working without a required license or with expired insurance is grounds for immediate removal.

Vetting. New contractor accounts stay inactive until our office completes vetting. We may decline, pause, or deactivate any contractor at our discretion, including for license or insurance lapses, safety issues, missing GET ID, repeated declines or no-shows, or a pattern of low customer ratings.

Assignments. Assignments are offered, not guaranteed. Accept or decline promptly. Once you accept, you commit to the scheduled window and the agreed scope. Repeated late cancellations or no-shows reduce your assignment priority and may end your participation.

Payouts. The customer pays VALIXP; VALIXP pays you. Your share is the amount shown on the payable for the job, paid to your connected Stripe account after the customer’s final payment clears — normally within 10 business days. Your Stripe Connect account must be fully onboarded before we can pay you. Amounts charged back, refunded, or reversed by the customer may be deducted from current or future payouts. You are responsible for your own GET and income taxes on what you earn.

No off-platform solicitation. Customers introduced to you through VALIXP belong to the platform relationship. For 12 months after your last VALIXP job with a customer, don’t solicit or accept work from that customer for the same or similar scope outside VALIXP, and don’t take payment directly from them for VALIXP-coordinated work. Work they separately and independently seek from you that is unrelated to a VALIXP job is fine.

Conduct and confidentiality. Show up in a professional state, follow site safety rules, and treat customers and their property with care. Customer contact details, addresses, and job details are confidential and may be used only to perform the assigned job.

Work orders. The work order in the app is the document of record. Log your updates, hours, materials, and photos there. Your private cost entries and invoices are not shown to the customer. Don’t perform out-of-scope work without an approved change order — unapproved work may not be paid.

7. Calls, texts and email

We contact you about your jobs by text, email, push notification, and phone. Job-related messages — confirmations, scheduling, arrival notices, payment receipts — are part of the service. Signing up for marketing texts is separate and optional.

Calls between customers and contractors are placed through a masked number so neither side has to share a personal line. Those calls may be recorded or leave voicemail for quality and dispute resolution, consistent with Hawaii law.

Reply STOP to any text to opt out of non-essential texts, or HELP for help. Message and data rates may apply. Opting out of texts may mean we call or email you instead for time-sensitive job updates.

8. Ratings, reviews and feedback

After a job is finished, customers can rate the assigned contractor and leave a comment. Ratings are used internally: higher-rated contractors receive assignment priority within their category, and low ratings open a follow-up case so our office can contact the customer.

Rate honestly and from firsthand experience. We may remove ratings that are abusive, contain personal information, are traded for compensation, or are clearly not about the work performed. Contractors may not pressure customers for ratings or offer anything in exchange for one.

9. Workmanship and warranties

The contractor who performs the work is responsible for the workmanship and stands behind it for the period stated on your work order, or, if none is stated, for one year from completion for defects in workmanship. Manufacturer warranties on materials pass through to you and are governed by the manufacturer’s terms.

Warranty claims exclude normal wear, misuse, neglect, work altered by someone else, damage from weather or acts of nature, pre-existing conditions, and items you supplied. Report a warranty issue through your account or at info@valixp.com and we will coordinate the fix.

Except as stated here, the service is provided “as is.” VALIXP disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose, to the fullest extent Hawaii law allows. We do not guarantee a specific contractor, a specific schedule, or uninterrupted availability of the app.

10. Limitation of liability

To the fullest extent permitted by law, VALIXP is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of use, even if we were told such damages were possible.

VALIXP’s total liability arising out of or relating to a job is limited to the amount you paid VALIXP for that job. For claims not tied to a specific job, our total liability is limited to $500.

Nothing in these terms limits liability that cannot be limited by law, including for fraud or personal injury caused by our own negligence. Because contractors are independent businesses, your claim for defective workmanship or on-site damage is against the contractor and their insurance; we will help you make that claim.

11. Indemnity

You agree to defend, indemnify and hold harmless Valixp LLC and its owners, officers, and staff from claims, damages, and reasonable legal costs arising out of your breach of these terms, your violation of law, or, if you are a contractor, your work, your crew, your equipment, and your licensing or insurance status.

12. Disputes

Talk to us first. Email info@valixp.com with the details and give us 30 days to resolve it. Most issues end here.

If we can’t resolve it, disputes will be settled by binding individual arbitration in Honolulu, Hawaii under the rules of the American Arbitration Association, rather than in court. Either of us may still bring a qualifying claim in Hawaii small claims court. Claims must be brought individually — no class actions or consolidated proceedings.

These terms are governed by the laws of the State of Hawaii, without regard to conflict of law rules. Any claim must be filed within one year of when it arose.

13. Acceptable use

Don’t misrepresent your identity, license, or insurance; don’t submit fake jobs, fake ratings, or fraudulent payment details; don’t scrape, reverse engineer, overload, or attempt to break the app or its security; don’t use the service for anything illegal or to harass another user. VALIXP’s name, logo, site content, and software are our property and may not be copied or used without permission.

14. Changes, termination and the rest

We may update these terms. Material changes will be posted here with a new date and, when it matters, sent to you by email or text. Continuing to use the service after a change means you accept it.

Either of us may close your account at any time. Closing an account doesn’t cancel payment owed for work already performed, and the sections on payments, warranties, liability, indemnity, and disputes survive.

If any part of these terms is found unenforceable, the rest stays in effect. These terms, together with our Privacy Policy and any work order you approve, are the whole agreement between us.
